Linda Rosenthal is Of Counsel to the firm and practices with its Corporate, Securities, Tax & Finance group. She has extensive experience with private and public equity and debt offerings, including private placements exempt under the Securities Act of 1933 and Regulation D, and initial and secondary public offerings. She has counseled clients on an ongoing basis regarding compliance with the Securities Exchange Act of 1934 and other federal and state securities laws, and has prepared numerous Securities and Exchange Commission filings, including periodic and current reports, proxy materials, and reports relating to the purchase and sale of securities by insiders and others. In addition, she has provided advice regarding compliance with the Sarbanes-Oxley Act and the regulations of the Public Company Accounting Oversight Board (PCAOB). Ms. Rosenthal also has experience with a broad range of transactional and general corporate matters. She has managed numerous mergers, stock, and asset acquisitions, and has provided advice regarding complex financial arrangements and non-bankruptcy restructurings and reorganizations. In addition, she has counseled clients regarding a wide variety of matters relating to the organization and operation of their businesses. In this latter capacity, she has provided advice regarding business entity structure and formation, and compliance with state business acts, commercial codes, and corporate governance regulations. She also has prepared and negotiated documentation relating to commercial, lending, and compensation arrangements (including materials purchase and sale contracts, service contracts, bank loan agreements, notes, warrants, employment, non-compete, and shareholder agreements, and restricted and phantom stock, stock bonus, and stock option plans).
