Our attorneys have provided merger and acquisition and private placement services to clients in diverse industries. We have represented professionals and companies, particularly in the technology, healthcare, retail and services fields, as they have raised capital, merged, or been acquired. These transactions have taken many forms. For example the firm has represented technology and other clients in (1) “private placement” transactions raising funds from individual and institutional investors, (2) transactions where an equity interest is sold to one investor, on terms that were the subject of detailed and complex negotiations, (3) sales of private companies to publicly held companies, in transactions structured as tax-free reorganizations, (4) private companies preparing for the IPO process, and (5) countless other mergers, acquisitions, consolidations, joint ventures, and similar sales and business reorganizations. We are particularly sensitive to the legal and business issues that confront technology, the Internet, health care provider, service, real estate and mercantile businesses.
