Every day we manage, negotiate or advise on acquisitions, mergers, insurance questions, property transfers, regulatory matters and commercial transactions. With respect to mergers and acquisitions, the Firm has and is able to guide the client through these issues, with extensive knowledge of the “minefields” of taking your company to the next level. We have represented many companies, including those in technology fields, as they have raised capital, merged, or been acquired. These transactions have taken many forms. For example, the Firm has represented technology and other clients in (1) “private placement” transactions; (2) sales of private companies to publicly held companies, in transactions intended as tax-free reorganizations, or not so intended; (3) private companies in the process of “going public”; and (4) countless other mergers, acquisitions, consolidations, joint ventures, and similar sales and business reorganizations. We regularly advise clients on the many federal, state and international tax aspects arising from intellectual property transactions and businesses. We are experienced in structuring compensation plans for directors, officers, and employees including qualified and non-qualified stock options, restricted stock plans, phantom stock plans, and employee stock ownership plans.
