For more than 25 years, we have represented and continue to represent many emerging and high growth companies. We have formed a great many new companies in information technology, mercantile, healthcare, retail, service, real estate, and E-commerce. We try to create the right entity structure that is most effective and flexible in accomplishing a client’s goals. Our knowledge and experience is reflected in the detailed attention we provide our clients in forming, financing, and growing new companies. Our attorneys combine corporate, intellectual property, tax, labor, real estate and corporate finance legal expertise with a practical understanding of emerging companies’ business needs. We also have working relationships with venture capitalists and other capital sources and can make introductions where appropriate. We provide crucial guidance in developing financing and growth strategies and in structuring practices and policies involving the development and acquisition of intellectual property and its commercial exploitation. We use a team-oriented approach to client service and frequently complement a client’s management team by serving as a “virtual” general counsel, acting as a senior member of the management team and participating in board level discussions. This team approach gives our clients the flexibility to call on a number of attorneys who are familiar with that client’s products, services, technology and business model, and who understand the strategic and tactical decisions made by management and the board of directors. We also have structured numerous acquisitions and sales of businesses through asset sales, stock sales, mergers, and other methods. Our experience includes drafting various business agreements, such as voting and buy-sell agreements for foreign and domestic clients, structuring investment and business partnerships, limited liability companies and corporations. We also advise clients on domestic and foreign tax issues and on all aspects of tax procedure and tax compliance. Negotiation of real estate purchases, sales and leases is commonplace. Advising employers on pensions, profit-sharing and other qualified deferred compensation plans, as well as other employee benefits such as cafeteria plans and stock options, has been and is an integral part of the firm's representation of businesses and professional partnerships. Our lawyers also have structured sophisticated non-qualified deferred compensation plans, "phantom stock" and other incentive plans, and other innovative methods of retaining and compensating key employees. |
